1. AgreementCopy Anchor Link

This End User License Agreement ("Agreement") is a binding legal agreement between you and LAPLACE Live! ("LAPLACE", "we", "our", or "us") regarding the LAPLACE Persona desktop application, including all software updates and bundled content ("Persona"). By downloading, installing, or using Persona, you agree to be bound by the terms of this Agreement. If you do not agree to all terms of this Agreement, do not install or use Persona.

If you accept this Agreement on behalf of an entity or organization, you represent and warrant that you have full legal authority to bind that entity to this Agreement.

2. License GrantCopy Anchor Link

Subject to your continued compliance with this Agreement, LAPLACE grants you a personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and run Persona on devices you own or control, for personal or commercial purposes (including live streaming and video production). Commercial use remains subject to the independent licenses of any third-party models or assets you use.

Persona is licensed, not sold. LAPLACE and its licensors retain all right, title, and interest, including all intellectual property rights, in and to Persona. All rights not expressly granted to you under this Agreement are reserved.

3. RestrictionsCopy Anchor Link

Except as expressly authorized by this Agreement or applicable non-waivable statutory law, you may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of Persona;
• Modify, adapt, translate, or create derivative works based on Persona;
• Rent, lease, sell, sublicense, assign, distribute, or otherwise transfer Persona or your rights under this Agreement;
• Distribute, publish, or bundle Persona with other commercial software without prior written consent from LAPLACE;
• Remove, alter, or obscure any copyright, trademark, patent, or other proprietary notices on or within Persona (including third-party notices);
• Use Persona in violation of applicable laws, or in any manner that infringes or misappropriates the rights of any third party.

Plugins, extensions, and integration tools communicating with Persona via its documented Plugin API do not constitute modifications of Persona itself; you may build, distribute, and use such extensions freely.

4. Your ContentCopy Anchor Link

LAPLACE claims no ownership rights in or to the models, images, videos, audio, 3D objects, web layers, and other assets you import into Persona, nor in the live streams, video recordings, or creative outputs you produce using Persona ("Your Content").

You remain solely responsible for Your Content. You must hold all necessary rights, licenses, and permissions to use Your Content with Persona (including for public broadcasting and commercial monetization) and comply with the license terms of each model asset. Models bundled with Persona are provided under their authors' respective terms; some models expressly prohibit commercial use, as documented in Bundled Models.

5. Live2D CompatibilityCopy Anchor Link

Persona parses and renders Live2D model assets using an independent implementation and does not embed the Live2D Cubism SDK. Persona is neither affiliated with nor endorsed by Live2D Inc.

"Live2D" and "Cubism" are trademarks or registered trademarks of Live2D Inc., used herein solely to indicate file format compatibility.

6. Third-Party Software and Open SourceCopy Anchor Link

Persona incorporates third-party libraries, fonts, sample assets, and open source components, each governed by its respective license terms. A comprehensive list of third-party notices is accessible within the application under Settings → About. Your use of these components is governed by their respective licenses.

Packages published by LAPLACE under open source licenses, such as the Persona SDK, are governed by their respective repository licenses rather than this Agreement.

7. Plugins and Connected ServicesCopy Anchor Link

Third-party plugins, external tracking applications, web layers, and third-party network services integrated with Persona are provided under separate agreements by their respective providers. LAPLACE disclaims all liability and makes no warranties regarding third-party services; your use of such services is entirely at your own risk.

8. Updates and ModificationsCopy Anchor Link

Persona is under active development. Features and capabilities may be updated, modified, or discontinued between releases. LAPLACE may provide updates at its discretion but is under no obligation to provide maintenance, technical support, or updates. This Agreement applies to all updates unless accompanied by separate terms.

9. TerminationCopy Anchor Link

This Agreement is effective until terminated. You may terminate this Agreement at any time by uninstalling and deleting Persona and all associated files. Your license terminates automatically if you fail to comply with any provision of this Agreement. Upon termination, you must immediately cease all use of Persona and destroy all copies. Sections 4 and 10 through 14 survive termination.

10. Disclaimer of WarrantiesCopy Anchor Link

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• PERSONA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED;
• LAPLACE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
• LAPLACE DOES NOT WARRANT THAT PERSONA WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE, NOR THAT IT WILL BE COMPATIBLE WITH SPECIFIC HARDWARE, OPERATING SYSTEMS, OR THIRD-PARTY ASSETS.

11. Limitation of LiabilityCopy Anchor Link

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL LAPLACE, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH PERSONA;
• LAPLACE'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR PERSONA SHALL NOT EXCEED $100 USD OR THE TOTAL FEES PAID BY YOU FOR PERSONA (IF ANY), WHICHEVER IS GREATER;
• THESE LIMITATIONS APPLY EVEN IF LAPLACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. IndemnificationCopy Anchor Link

You agree to defend, indemnify, and hold harmless LAPLACE, its affiliates, licensors, and contributors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to Your Content, your use of Persona, or your breach of this Agreement.

13. Governing Law and DisputesCopy Anchor Link

• Governing Law: This Agreement is governed by the laws of the State of California and the United States, without regard to conflict of laws principles.
• Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to this Agreement or Persona shall be settled by binding arbitration administered by the American Arbitration Association (AAA), except where prohibited by mandatory local consumer law.
• Class Action Waiver: You agree that all disputes must be resolved on an individual basis and waive any right to participate in a class, collective, or representative proceeding.
• Injunctive Relief: Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or proprietary rights.

14. General TermsCopy Anchor Link

• Privacy and Data Security: Privacy and Security details the categories of local data stored by Persona and the network requests initiated by the application.
• Modifications: LAPLACE reserves the right to revise this Agreement. Revised versions will be published on this page with an updated effective date. Continued use of Persona following changes constitutes acceptance of the revised Agreement. If you do not agree, discontinue using Persona.
• Severability: If any provision of this Agreement is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.
• Entire Agreement: This Agreement, together with all referenced policies and licenses, constitutes the entire agreement between you and LAPLACE regarding Persona, superseding all prior oral or written communications.
