Persona

1. Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and LAPLACE Live! ("LAPLACE", "we", "our", or "us") for the LAPLACE Persona desktop application, including its updates and bundled content ("Persona"). By installing or using Persona, you agree to this Agreement. If you do not agree, do not install or use Persona.

If you accept this Agreement on behalf of an organization, you represent that you have the authority to bind that organization to it.

2. License Grant

Subject to this Agreement, LAPLACE grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Persona on devices you own or control, for personal or commercial purposes, including live streaming and video production. Commercial use remains subject to the licenses of the models and other content you use.

Persona is licensed, not sold. LAPLACE and its licensors own Persona and all intellectual property rights in it, and reserve all rights not expressly granted to you.

3. Restrictions

Except as expressly permitted by this Agreement, or by applicable law notwithstanding this limitation, you may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Persona
• Modify, adapt, or translate Persona, or create derivative works of it
• Rent, lease, sell, sublicense, assign, or otherwise transfer Persona or your rights under this Agreement
• Redistribute Persona, or bundle it with other software, without LAPLACE's prior written permission
• Remove, alter, or obscure any copyright, trademark, license, or other proprietary notice in Persona, including its third-party notices
• Use Persona in violation of applicable law, or in a way that infringes or may infringe the rights of others

Plugins and other software that communicate with Persona through its Plugin API do not modify Persona, and you may build and use them.

4. Your Content

LAPLACE claims no ownership of the models, images, videos, audio, 3D objects, webpages, and other material you use with Persona, or of the streams, videos, and other output you create with it ("Your Content").

You are responsible for Your Content. You must hold every right needed to use it with Persona, including for streaming and commercial use, and follow the license terms of each model you use. The models bundled with Persona are licensed by their authors under their own terms, some of which prohibit commercial use; see Bundled Models.

5. Live2D Models

Persona loads Live2D model files with its own independent implementation and does not include the Live2D Cubism SDK. Persona is not affiliated with or endorsed by Live2D Inc.

Live2D and Cubism are trademarks or registered trademarks of Live2D Inc., used here only to identify compatible model formats.

6. Third-Party Software and Content

Persona includes third-party software and content, such as sample models, animations, and fonts, each provided under its own license. They are listed under Third-Party Notices in About LAPLACE Persona, and those licenses govern your use of the components they cover.

Packages LAPLACE publishes under an open source license, such as the Persona SDK, are governed by their own licenses rather than this Agreement.

7. Plugins and Connected Services

Plugins, tracking apps, webpages you add as layers, and other software or services you connect to Persona are provided by third parties under their own terms. LAPLACE is not responsible for them, and you use them at your own risk.

8. Updates

Persona is in active development, and features may change or be removed between versions. LAPLACE may release updates but is not obligated to provide updates, support, or maintenance. This Agreement applies to each update unless the update comes with separate terms.

9. Termination

This Agreement remains in effect until terminated. You may terminate it at any time by deleting Persona, and your license terminates automatically if you breach this Agreement. Upon termination, you must stop using Persona and delete all copies of it. Sections 4 and 10 through 14 survive termination.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• PERSONA IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• LAPLACE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• LAPLACE DOES NOT WARRANT THAT PERSONA WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH YOUR MODELS, DEVICES, OR OTHER SOFTWARE

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• LAPLACE AND ITS AFFILIATES AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR INTERRUPTION OF A STREAM OR BUSINESS
• LAPLACE'S TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID FOR PERSONA (IF ANY), WHICHEVER IS GREATER
• THESE LIMITATIONS APPLY EVEN IF LAPLACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

12. Indemnification

You agree to indemnify, defend, and hold harmless LAPLACE and its licensors from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from Your Content, your use of Persona, or your violation of this Agreement or the rights of others.

13. Governing Law and Disputes

• Governing Law: This Agreement is governed by the laws of the United States and the State of California, without regard to conflict of law principles.
• Dispute Resolution: Any dispute arising from this Agreement or Persona shall be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.
• Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
• Exceptions: Either party may seek injunctive relief in court to protect intellectual property rights.

14. General

• Privacy: Privacy and Security describes the data Persona stores on your device and every request it sends.
• Changes: LAPLACE may update this Agreement. Updates are posted on this page with a new effective date, and continuing to use Persona after an update takes effect means you accept it. If you do not agree, stop using Persona.
• Severability: If any provision of this Agreement is found invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Entire Agreement: This Agreement, together with the licenses it references, is the entire agreement between you and LAPLACE regarding Persona and supersedes all prior agreements.
